AngkorShop Seller Policy
This Merchant Policy applies to all merchants who sell goods/services using the AngkorLife in-app shopping service ("Marketplace") ("Merchant").
1. Definition
A. Marketplace: Transaction functions such as registration, ordering, payment, delivery/fulfillment, and customer support for goods and services provided within the AngkorLife app
B. Merchant Center: Admin pages/modules for managing merchant accounts, registering products, and setting up orders, checkouts, and promotions
C. Buyer: Consumers or businesses who purchase goods/services through the marketplace
D. Wallet/Points/Digital Assets: In-app payment methods, points/credits/vouchers, etc. (not legal tender, cashability and statute of limitations are subject to separate terms/policies)
E. Settlement: A procedure in which the company pays the seller by reflecting fees, discounts, refunds, and deductions from the sales proceeds.
F. Prohibited items: Items that are prohibited/restricted from sale by law or company policy
2. Eligibility and Account
A. Sign-up requirements: Merchants must provide a valid identity/business license, bank account information for payment and settlement, contact information, and cooperate with KYC/AML screening.
B. Account Security: Security measures such as access rights management, two-factor authentication, etc., must be adhered to, and the company must be notified of any misuse/theft of accounts without delay.
C. Keep your information up to date: Business information, tax information, logistics/return addresses, etc. must be kept accurate and up-to-date.
3. Compliance and Responsibility
A. Legal Compliance: Merchants must comply with all applicable laws and regulations, including e-commerce, consumer protection, privacy, tax laws, customs duties, customs clearance, import controls, intellectual property rights, advertising labels, product safety, and pharmaceutical, food, alcohol, and electronics certifications.
B. Taxes: Sellers are responsible for calculating, reporting, and remitting taxes (e.g., VAT, withholding) on taxable transactions. Even if the company provides tax collection/calculation, the ultimate responsibility lies with the seller.
C. Sanctions/Financial Regulations: International Sanctions Lists (e.g., SDN) and Anti-Money Laundering (AML/CFT) compliance obligations. You must cooperate with monitoring high-risk trades.
D. Intellectual Property Rights: Ensuring that goods, descriptions, images, and trademarks do not infringe on third-party rights. In case of violation, the seller will bear full responsibility and damages.
4. Prohibited and Restricted Items
In principle, the following items are prohibited from registration and sale (based on the laws and regulations of the operating area + company policy):
A. Illegal/counterfeit/stolen goods, copyright and trademark infringement
B. Prescription drugs, narcotics, medical devices (without permission), hazardous chemicals
C. Adult/Child/Youth Harmful Materials, Weapons/Explosives, Munitions
D. Tobacco, e-cigarette liquid (if restricted by law), alcoholic beverages (without a license)
E. Gambling/lottery/betting services (where prohibited by law)
F. Selling personal information/access, hacking tools, and licensing illegal software
G. Other items that the company deems risky/inappropriate
i. Restricted items (permits, qualifications, and labeling required) can be sold after prior approval and submission of proof.
5. Product Registration and Content
A. Accuracy: Provide accurate and unmisleading product names, descriptions, specifications, prices, options, inventory, shipping costs, estimated shipping dates, return policies, and after-sales service.
B. Labeling Regulations: Comply with statutory labeling such as country of origin, ingredients, certification numbers, and safety warnings.
C. Images/videos: Must reflect the real product, do not infringe on the rights of others, and excessive synthesis/false presentation is prohibited.
D. Categories/Tags: Use appropriate categorization, no keyword spam.
E. Obligation to update: Inventory and price changes must be reflected immediately, and non-fulfillment of orders caused by non-reflection is the responsibility of the seller.
6. Pricing, Promotions, Advertising
A. Pricing policy: There is no minimum price compulsory, but cheating such as false discount prices, comparative advertising/misleading, and bait products is prohibited.
B. Coupons/Discounts: Merchant-issued promotions must clearly disclose the terms and conditions (minimum purchase, expiration date, excluded items).
C. Advertising content: No misleading, no unfounded performance claims, and compliance with legal language for regulated objects (health, finance, etc.)
7. Order Fulfillment and Shipping/Fulfillment
A. Acceptance/Fulfillment: After receiving the order, you must initiate dispatch/fulfillment within [e.g., 24–48 hours]. In case of delay, the buyer will be notified and a replacement/refund will be provided at the seller's responsibility.
B. Packaging/label: Secure, vandal-proof packaging, with accurate invoices and customs clearance documents. Compliance with dangerous goods transportation regulations.
C. Shipment tracking: Providing a tracking number is a rule (except for digital goods/services).
D. Incomplete Fulfillment: In the event of misdelivery/damage/defective goods, the seller is responsible for the cost and resending/refunding.
8. Returns, refunds, exchanges
A. Policy Disclosure: Clearly inform the return period, who bears the cost, and the reason for the exception (post-opening value damage, customization, etc.).
B. Consumer Protection Standards: Must exceed or comply with the minimum withdrawal/warranty standards under applicable law.
C. Procedure: The approval, collection, inspection, and settlement steps are in accordance with the seller's policy.
D. Digital goods: Refunds can be limited if the license/code is used, but defects or non-performance are subject to refund/re-provision.
E. Partial refund/reship: The seller must provide a reasonable settlement, and the company will follow the decision when arbitrating the dispute.
9. Fees, Costs and Settlement
A. Marketplace fees: Category-specific referral fees (%), payment processing fees, settlement fees, and advertising/promotion costs apply.
B. Settlement Cycle: [Twice a month], minimum payment standards, and pending/delay requirements (disputes, differences, suspicions of fraud, etc.) will be notified.
C. Deduction items: Refunds, differences, chargebacks, fines, promotional costs, tax collection amounts, etc. can be deducted from the sales proceeds.
D. Currency/Exchange Rate: For multi-currency transactions, settlement will be based on the exchange rate/fee announced by the company, and the profit or loss of exchange rate fluctuations will be borne by the seller.
E. Wallet/Points Payments: In-app wallet/points/digital asset payments may be included, and expiration/non-refundable conditions in accordance with the applicable policy apply at the time of settlement.
10. Declines, holds, and chargebacks
A. Suspected fraud/violations: The company may withhold settlement, freeze inventory/payment, or request additional materials during the investigation.
B. Chargeback: In the event of a chargeback by the card issuer/payment provider, the merchant is requested to explain the chargeback, and the final responsibility lies with the merchant.
C. Deposit/Risk Deposit: If necessary, you can set a deposit based on the category and risk level.
11. Customer Response and Reviews
A. Response: [24 hours] my reply to the buyer's inquiry, sincere cooperation in case of disputes.
B. Review Policy: No creation/buying of false reviews, no unreasonable removal requests. Encourage improved responses to legitimate reviews.
C. Prohibition of disparagement and discrimination: Prohibition of disparagement, discrimination, and hate speech in communication.
12. Data protection and privacy
A. Obligation to comply: Sellers must comply with privacy laws/international transfer regulations and process buyer data to a minimum within the scope of the purpose of the transaction.
B. Security: Reasonable technical and administrative safeguards (encryption, access control, log monitoring) applied.
C. Third-Party Provisions: No provision to third parties without legal basis or buyer's consent.
D. Notification of infringement: In the event of a data breach, we will notify the company and relevant legal authorities without delay and implement corrective measures.
13. Intellectual Property Rights and Licenses
A. Seller Content License: Seller grants the Company a non-exclusive, worldwide, royalty-free license (subject to sublicensability) to sell, market, and operate the Product.
B. Rights reserved: Sellers own the seller's content, but there must be no infringement of any third-party rights.
14. Performance Management and Sanctions
A. Metrics: Manage key metrics such as order fulfillment rates, cancellation rates, delay rates, return/complaint rates, and review ratings.
B. Warnings/Sanctions: Warnings, exposure restrictions, fee additions, suspensions, permanent terminations, and legal action are possible for non-compliance or violations, and are enforced after prior notice (immediate action in case of urgent/critical violations).
C. Sanctions Lifting Program: Some sanctions can be lifted upon submission of an improvement plan and recovery of performance for a certain period of time
15. Warranties, Indemnification, and Limitation of Liability
A. Seller Guarantee: We guarantee the legality, suitability, and safety of the product, the accuracy of the description, and the non-infringement of rights.
B. Indemnification/Indemnification: The seller shall defend, indemnify, and indemnify the company and its officers and employees against any claims and damages arising from sales activities (intellectual property infringement, product liability, regulatory violations, tax disputes, etc.).
C. Limitation of Liability: The Company's total liability is capped at the total amount of fees received by the Company in such transactions, and indirect, special and lost profits are not included in the scope of liability (except to the extent prohibited by law)
16. Third-Party Services and Payment Processing
A. Payment Provider/Logistics Company: The Company may use third parties for payment, inspection, and delivery, and the applicable terms of service/rates apply.
B. Outage/Failure: Notify the buyer/seller of the possibility of temporary service interruption due to a third party or system failure, and make reasonable recovery efforts.
17. Confidentiality
A. Trade secrets, non-disclosure rates, indicators, technical information, etc. must be kept confidential, and disclosure in accordance with legal requirements shall be kept to a minimum.
18. Changes to the Terms
A. The Company may change the terms and conditions due to amendments to laws and regulations, service changes, security enhancements, etc., and they will take effect after prior notice. In the event of a major change, we will notify you [at least 7 days] in advance. If you continue to use the service after the change, you will be deemed to have agreed to the terms of the change.
19. Dispute Resolution and Jurisdiction
A. Internal mediation: First of all, the principle is self-resolution between the seller and the consumer . However, if no resolution is reached, the company will try to mediate through support channels.
B. Governing Law/Jurisdiction: The laws of [Cambodia] shall be governed by law, and disputes shall be subject to the exclusive jurisdiction of [Court/Arbitration Institution of Cambodian Jurisdiction].
C. Consumer protection first: If there are mandatory consumer protection regulations, those regulations will take precedence.
20. General Provisions
A. No Assignment: The seller may not assign any rights or obligations without the prior written consent of the company.
B. Force majeure: Liability is limited in the event of force majeure, such as natural disasters, wars, government actions, large-scale power outages, or communication failures.
C. Independent Contracting Parties: The seller and the company are independent parties and are not agency, joint venture, or employment relationship.
D. Entire Agreement: These Terms constitute the entire agreement between the parties with respect to the subject matter hereof.
By reviewing and agreeing to these Terms and Policies, Merchants may initiate sales activities on AngkorLife Shopping.
In addition, any other matters not defined in these Terms shall be governed by AngkorLife's Terms.
